These Terms of Service (“Terms”) govern your use of jollychristmascrackers.co.uk (the “Site”) and, where applicable, the purchase of products and services from JollyCracker (“we”, “us”, “our”). By accessing the Site, submitting an enquiry, or placing an order, you agree to these Terms.
1. Trade Only
We supply business customers (retailers, distributors, hospitality, corporate buyers, event agencies). If you are a consumer, please contact us before ordering.
2. Using the Site
You may use the Site for legitimate business purposes only. Do not misuse the Site (for example by uploading malware, scraping content, or attempting unauthorised access). We may suspend or withdraw the Site at any time.
3. Intellectual Property
All content on the Site (text, images, graphics, logos, layouts) is owned by us or our licensors and protected by intellectual property laws. You must not reproduce or commercialise any content without our prior written consent.
4. Product Information
Images, descriptions and samples are illustrative. Reasonable variations may occur due to manufacturing tolerances, material supply and finishing processes.
5. Quotations, Orders & Contract Formation
- Quotations are invitations to treat and valid for the period stated (or 30 days if none).
- A binding contract forms when we issue a written order confirmation or receive your deposit/advance payment, whichever occurs first.
- Any terms in your purchase order that conflict with these Terms will not apply unless agreed by us in writing.
6. Prices, Taxes & Payment
Prices are shown in GBP unless stated otherwise and are exclusive of VAT, duties and shipping. Deposits may be required for custom goods; balances are typically payable before despatch unless we agree credit terms in writing. We may withhold production or delivery for overdue sums. Currency/bank charges and import costs are your responsibility.
7. Minimum Order Quantities
Typical minimum order quantity (MOQ) is 500 units per design, unless otherwise quoted. Certain formats or finishes may require higher MOQs.
8. Samples, Proofs & Approvals
We can provide digital proofs and/or pre-production samples. You are responsible for checking artwork, spellings, colour references (Pantone/CMYK), legal notices and barcodes prior to approval. Production lead time starts after written approval.
9. Artwork & IP You Supply
You warrant that you own or are licensed to use any artwork, logos or brand assets you provide, and you grant us a non-exclusive licence to use them to produce the goods and (unless you opt out in writing) to display finished work in our portfolio and marketing. You will indemnify us against claims arising from IP you supply.
10. Custom Contents & Sourcing
Where we source filler gifts to your brief, we act with reasonable care but do not guarantee suitability for purposes not disclosed. You remain responsible for regulatory, age-restricted or destination-specific requirements unless otherwise agreed in writing.
11. Manufacturing Tolerances
- Dimensions ±3–5 mm; board weight ±5%.
- Colour/print variance due to materials/finishes.
- Foil/emboss registration within normal limits.
- Carton counts ±2% on large runs (we credit/charge the actual delivered).
Minor variations that do not materially affect use are not defects.
12. Delivery, Risk & Title
Delivery terms follow the Incoterms stated in our quotation (e.g., EXW, FOB, CIF, DAP). Risk passes in accordance with the agreed Incoterm (typically on delivery to the carrier). Title passes once we have received payment in full.
13. Lead Times & Seasonal Cut-Offs
Typical production is 15–21 business days after approval; complex or peak-season runs may extend to 18–25 business days. Transit time is additional. To secure pre-Christmas delivery, confirm orders by the cut-off dates we publish or confirm in writing.
14. Inspection, Shortages & Damage
Please inspect goods on receipt. Notify us within 5 business days of delivery of any shortage, damage or defect, including photos and delivery notes. After this period we may deem the goods accepted.
15. Returns, Cancellations & Refunds
Custom goods are non-cancellable and non-returnable except for confirmed manufacturing defects. Standard (non-custom) items may be returnable with our prior written consent and an RMA, subject to restocking and carriage fees.
16. Warranty & Liability
We warrant that goods will materially conform to the approved specification and be free from material defects for 30 days from delivery. Our liability is limited to repair, replacement or refund (at our option) and capped at the price paid for the affected goods. We exclude liability for indirect or consequential loss, loss of profit or goodwill. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
17. Compliance & Safety
On request and where applicable to the agreed specification, we can supply documentation relevant to UK/EU compliance (for example FSC claims for paper, safety test reports for specified contents, packaging and labelling guidance). You are responsible for ensuring the final configuration for your market meets local legal requirements unless otherwise agreed.
18. Sustainability Claims
Eco statements (e.g., “recyclable”, “FSC-certified”, “plastic-free”) apply only where specified in our quotation or order confirmation. Do not make environmental claims beyond those we have confirmed in writing.
19. Force Majeure
We are not liable for delay or non-performance caused by events beyond our reasonable control (including extreme weather, strikes, epidemics, transport disruption, shortages, or regulatory changes). We will notify you and take reasonable steps to mitigate.
20. Confidentiality
Both parties must keep non-public business information confidential, except where disclosure is required by law or the information is already public.
21. Data Protection & Privacy
We process personal data in accordance with UK GDPR and our Privacy Policy. By using the Site or submitting an enquiry, you consent to such processing. See our Cookie Policy for information about cookies and similar technologies.
22. Third-Party Links & Tools
The Site may link to third-party sites or tools. We are not responsible for their content, availability or privacy practices. Use them at your own discretion.
23. Changes to the Site or Terms
We may update the Site and these Terms from time to time. The version posted on the Site is the current version. Changes do not affect existing, confirmed orders unless agreed in writing.
24. Governing Law & Jurisdiction
These Terms and any contract are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, save that we may bring proceedings in your country of domicile to protect our IP or recover sums due.
